Purchase Agreement for Jurifax ProductsContrat d'achat des produits Jurifax

If you are about to order one or several Jurifax products (hereinafter individually and collectively referred to as "the Jurifax Products"), please read the terms and conditions of the agreement below carefully. This agreement will bind you to Jurifax LLC, publisher of Jurifax Products:

1. Payment
You agree to pay the price of the Jurifax Products and to honor the credit card agreement under which you are making this purchase.

2. Download
Following the automated and secure processing of your order, you may immediately download the Jurifax Products ordered (in Microsoft Word format, contained in a compressed ZIP file). In order to decompress a ZIP file, you need a decompression utility such as Winzip or 7-Zip.

3. Accuracy of Information
You are entirely responsible for the accuracy of any and all information supplied to Jurifax LLC, for which it disclaims all liability.

4. Right Granted
Subject to payment of the price of the Jurifax Products, you obtain the non-exclusive right to use the Jurifax Products.

5. Scope of this Right
By virtue of this right,

• - you may consult, use, modify, adapt and copy the Jurifax Products for your personal or business use only;

• - you may transmit the Jurifax Products to your advisors and to persons affected by the content of the Jurifax Products and you may allow such persons to consult the Jurifax Products.

Subject to the foregoing,

• - you may not, directly or indirectly, publish, sell, rent, lease, lend, give, provide a copy of (digital or otherwise) or allow the consultation or use of the Jurifax Products by anyone whomsoever;

• - you may not modify the content of the Jurifax Products, except the Jurifax forms;

• - you may not remove the intellectual property notices (copyrights and trademarks) appearing on the Jurifax user guides.

6. Intellectual Property
All Jurifax Products, all lists of Jurifax Products lists and all content included on the Jurifax Web site (text, graphics, logos, buttons, images, icons and software components) are the exclusive property of Jurifax LLC or its suppliers or licensors. They are protected by copyright laws and by international agreements.

7. Limited Replacement Warranty
The warranty on Jurifax products is similar to the warranty on software products and is limited to the replacement of the defective product (i.e. file cannot be opened or illegible content). If a Jurifax product is defective, send an e-mail request to info@jurifax.com and Jurifax will immediately replace the defective product with an identical functional product (i.e. with the same product number), at no cost.

8. Disclaimer of Warranty on Content
Jurifax LLC hereby disclaims all warranties, whether express or implied, respecting the legal content of the Jurifax Products. You understand that, depending upon your particular situation, the Jurifax Products might not meet your needs or requirements. In case of doubt, you should consult a legal advisor in your jurisdiction. Jurifax LLC is a legal publisher only. Therefore, he cannot provide you with any legal service or advice.

9. Limited Liability
In all cases, the maximum liability of the authors and Jurifax LLC, for any claims arising out of, or in connection with the use of, the Jurifax Products, shall be limited to a refund of the purchase price thereof.

10. Governing Law and Election of Domicile
This Agreement shall be construed and enforced in accordance with the laws in force in the State of Delaware, United States of America. You and Jurifax LLC agree to elect domicile in the judicial district of New Castle County, State of Delaware, United States of America, for the hearing of any claim arising with respect to the interpretation, application, performance, term, validity or effects of this Agreement.

11. Entire Agreement
This Agreement represents the entire understanding between You and Jurifax LLC.

2. Téléchargement
Après le traitement automatisé et sécurisé de votre commande, vous pouvez immédiatement télécharger les produits Jurifax commandés (en format Microsoft Word, dans un fichier compressé en format ZIP). Afin de décompresser un fichier ZIP, il est nécessaire d'utiliser un utilitaire de décompression, tel WinZip ou 7-Zip.

3. Exactitude de l'information
Vous êtes entièrement responsable de l'exactitude de toute information que vous fournissez à Jurifax LLC, que vous dégagez entièrement de toute responsabilité à cet égard.

4. Droit consenti
Sujet au paiement du prix des produits Jurifax, vous obtenez le droit non-exclusif d'utiliser les produits Jurifax.

5. Étendue de ce droit
En vertu de ce droit,

- vous pouvez consulter, utiliser, modifier, adapter et reproduire les produits Jurifax pour vos fins personnelles ou d'affaires seulement;
- vous pouvez transmettre ou permettre la consultation des produits Jurifax à vos conseillers et aux personnes concernées par le contenu des produits Jurifax.

Sous réserve de ce qui précède,

- vous ne pouvez pas, directement ou indirectement, diffuser, vendre, louer, prêter, donner, fournir une copie (numérique ou autre) ou permettre la consultation ou l'utilisation des produits Jurifax à quiconque;
- vous ne pouvez pas modifier le contenu des produits Jurifax, sauf les modèles Jurifax;
- vous ne pouvez pas enlever les avis de propriété intellectuelle (droits d'auteur et marques de commerce) qui apparaissent sur les guides d'utilisation Jurifax.

6. Propriété intellectuelle
Tous les produits Jurifax, toute liste des produits Jurifax, ainsi que tout le contenu du site Web de Jurifax (texte, graphiques, logos, boutons, images, icônes et composants logiciels) sont la propriété exclusive de Jurifax LLC, de ses fournisseurs ou des personnes ayant accordé une licence d'utilisation à Jurifax LLC. Ils sont protégés par les lois relatives aux droits d'auteur et par les traités internationaux.

7. Garantie limitée de remplacement
La garantie relative aux produits Jurifax est semblable à celle couvrant généralement les produits logiciels et est limitée au remplacement d'un produit défectueux (i.e. impossibilité d'ouvrir le fichier informatique ou contenu illisible). Si un produit Jurifax est défectueux, Jurifax LLC s'engage à le remplacer par un produit fonctionnel identique (i.e. comportant le même numéro de produit) sans délai et sans frais, sur simple demande formulée par courriel à info@jurifax.com .

8. Absence de garantie relative au contenu
Jurifax LLC ne donne aucune garantie expresse ou implicite relative au contenu juridique des produits Jurifax. Les produits Jurifax peuvent, dépendant de votre situation particulière, ne pas convenir à vos besoins ou être incomplets. En cas de doute, vous devriez consulter un conseiller juridique dans votre juridiction. Jurifax LLC est un éditeur juridique seulement. Par conséquent, il ne peut vous fournir aucun service ou conseil d'ordre juridique.

9. Responsabilité limitée
Dans tous les cas, la responsabilité maximale des auteurs et de Jurifax LLC, découlant de ou en relation avec l'utilisation des produits Jurifax, est limitée au remboursement de leur prix d'achat.

10. Lois applicables et élection de domicile
Le présent contrat est assujetti aux lois en vigueur dans l'État du Delaware, États-Unis d'Amérique. Vous et Jurifax LLC conviennent d'élire domicile dans le district judiciaire de New Castle County, État du Delaware, États-Unis d'Amérique, et choisissent celui-ci comme le district approprié pour l'audition de toute réclamation découlant de l'interprétation, l'application, l'accomplissement, l'entrée en vigueur, la validité et les effets du présent contrat.

11. Totalité de l'entente
Ce contrat représente la totalité de l'entente entre vous et Jurifax LLC.
